Terms of Service

The terms that govern your access to Showyard, including the waitlist, the product, and connected YouTube channels.

These Terms of Service ("Terms") govern your use of Showyard (the "Service"), operated by Galactic Media Group LLC ("Showyard", "we", "us"). By joining the waitlist, creating an account, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

The short version. Do not break the law with Showyard. Do not try to break Showyard. You own your data. We own our software. Pay your bill or we may suspend service. We provide the Service as-is with no warranty. Disputes get resolved in Delaware. We can update these Terms and will tell active users when material changes are made.

1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract. If you use the Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity, and "you" in these Terms refers to that entity.

2. Account responsibilities

You are responsible for keeping your account credentials secure, all activity that occurs under your account, notifying us promptly of unauthorized access, and ensuring you have the rights to submit or connect any YouTube channel you provide to Showyard. You must not share your account credentials with others. If you want others to access your workspace, use Showyard's built-in workspace member features.

3. Description of the Service

Showyard is an operating-system-style software product for YouTube channel operators. It helps you manage channels, videos, production workflows, sponsors, team members, and revenue across your YouTube business. Some Service features connect to your YouTube channels through Google's official YouTube API Services with your explicit OAuth consent.

During launch, Showyard may offer a waitlist, private beta, free trial, or early-access program. Subscription fees, available tiers, and feature limits will be displayed at signup or in billing settings when paid access is available. We reserve the right to add, modify, or remove features as the product evolves; material reductions of paid features will be communicated at least 30 days in advance.

You can review and revoke Showyard's access to your YouTube data at any time through the Google Security Settings page. You agree that you will not use Showyard in any way that violates the YouTube Terms of Service or the YouTube API Services Developer Policies.

5. Payment, billing, and cancellation

5.1 Billing

Subscription fees are billed monthly or annually in advance, in US dollars, through our payment processor. Your subscription auto-renews until you cancel. Annual subscriptions are non-refundable except as required by law.

5.2 Free trial and private beta

From time to time we may offer free trials or private-beta access. Terms specific to those offers, including duration and conversion to paid access, will be displayed at signup.

5.3 Failed payments

If a payment fails, we will retry and notify you. After a grace period of 7 days, we may suspend access to the Service until payment is resolved. You remain liable for unpaid fees during this period.

5.4 Cancellation

You can cancel any time from account billing settings or by contacting support. Cancellation takes effect at the end of the current billing period. You will retain access until then. After cancellation you may export your data for 30 days; after that, your data may be deleted under our Privacy Policy.

5.5 Refunds

We do not offer prorated refunds for partial months on monthly plans. Annual-plan refunds are at our sole discretion. If a feature you paid for is materially withdrawn during your subscription, we will offer a prorated credit.

5.6 Price changes

We may change the price of the Service. Price changes for existing customers take effect on the next renewal after at least 30 days' notice. You may cancel before the change takes effect.

6. Acceptable use

You agree not to:

  • Use the Service in any way that violates applicable law or the rights of others.
  • Use the Service to violate YouTube's Terms of Service or community guidelines.
  • Connect or submit channels you do not own or have explicit written authority to manage.
  • Attempt to reverse-engineer, decompile, or disassemble the Service except as expressly permitted by law.
  • Attempt to gain unauthorized access to any account, system, or data.
  • Use the Service to send unsolicited communications, malware, or other harmful content.
  • Resell, sublicense, or commercially exploit the Service except as expressly permitted.
  • Use automated means to access the Service except through our documented APIs.
  • Misrepresent your identity or affiliation with anyone.

We may suspend or terminate accounts that violate these rules. In serious cases we may notify YouTube/Google or relevant authorities.

7. Your data and content

You own your data. Your YouTube channels remain yours. Data you enter into Showyard, including production records, sponsor information, costs, and team configuration, belongs to you. We do not claim ownership over your data.

You grant Showyard a limited, non-exclusive license to host, process, transmit, and display your data solely as needed to operate the Service for you and your invited workspace members. This license terminates when you delete your data or close your account, except where retention is required by law.

You are responsible for the legality and accuracy of data you enter into Showyard.

8. Workspace members

Showyard supports workspaces with multiple members in roles such as owner, consultant, or freelancer. The workspace owner is responsible for inviting only people who have agreed to these Terms or are acting on their behalf, assigning appropriate access scopes, and removing members who no longer need access. The workspace owner is the primary account holder for billing and data ownership purposes.

9. Intellectual property

The Service, including all software, design, content, trademarks, and underlying technology, is owned by Showyard and protected by US and international intellectual property laws. These Terms do not grant you any ownership of the Service. The Showyard name, mark, and logo are our trademarks; you may not use them except as required to reference the Service.

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free, worldwide license to use them without obligation to you.

10. Service availability and changes

We aim for high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable for maintenance, upgrades, or unforeseen issues. We may modify, suspend, or discontinue any part of the Service at any time. Material discontinuations affecting paid features will be communicated at least 30 days in advance, with a prorated credit where applicable.

11. Termination

You may terminate your account at any time through billing settings or by emailing hello@showyard.app.

We may terminate or suspend your account if you violate these Terms or YouTube's policies, fail to pay fees, or use the Service in a way that creates legal or operational risk for us. We will give reasonable notice when feasible.

Sections that by their nature should survive termination, including intellectual property ownership, disclaimers, limitation of liability, indemnification, and governing law, survive termination.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Showyard does not warrant that the Service will be uninterrupted, error-free, or that data displayed will be accurate at all times. Revenue and analytics estimates are sourced from YouTube and other third parties and are subject to revision by those parties; we make no warranty as to their accuracy.

You are responsible for your own business decisions. Showyard provides operational visibility; it does not provide professional financial, tax, or legal advice.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOWYARD AND ITS AFFILIATES, OFFICERS, DIRECTORS, AND EMPLOYEES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

14. Indemnification

You agree to indemnify and hold Showyard harmless from claims arising from your use of the Service, your data, or your violation of these Terms, including the cost of reasonable legal fees.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and you consent to the personal jurisdiction of those courts.

If you are a consumer in the EU, UK, or another jurisdiction with mandatory consumer rights, nothing in these Terms displaces your rights under applicable law.

16. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced through a reasonable channel, such as email to active users, at least 30 days before they take effect when feasible. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Service before they take effect.

17. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between you and Showyard about the Service.

Severability. If any provision is found unenforceable, the rest remain in effect.

Waiver. Our failure to enforce a provision does not waive future enforcement.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or in connection with a merger or acquisition.

Force majeure. We are not liable for delays caused by events beyond our reasonable control.
